The client receives the company's registration certificate, the registrar's decision, the signed constitutive act and the trade register certificates, delivered as scans by email and originals by courier, together with the company's tax registration details.

Any third-party costs (such as official fees, translations, notarisation, apostille or courier) are charged separately, at cost, as incurred.
If the trade register rejects the file for a reason attributable to us, we correct and refile at no charge. If registration does not occur at all, we refund our fee. We do not promise a registration date.

Questions
- Do I have to come to Romania to open the company?
- No.
- Do I need a Romanian shareholder or a Romanian director?
- No. Shareholders and directors can be of any nationality and need not be resident in Romania.
- How long does it take?
- 7-10 days.
- Do I need a physical office?
- You need a registered office in Romania with a valid title. That can be a property you own or lease, or hosted premises. We can provide it.
- What are my obligations once the company exists?
- They start at registration, not when you begin trading. Bookkeeping, tax returns, electronic invoicing and SAF-T reporting apply from the outset. A company that never traded still has filings to make.
- Which tax regime will apply?
- Most new small companies fall under the microenterprise regime, subject to conditions and a turnover ceiling that changed on 1 January 2026. Above the ceiling or outside the conditions, the standard 16% corporate income tax applies. We set out the position for your specific plan before registration.
- What if the register asks for more documents?
- Common, and part of the service. We respond and resubmit. It adds days, not weeks, in most cases.
- What if my company name is rejected?
- That is why we reserve three names in order of preference. Rejection at name stage costs a day.
- Can I close it easily if it does not work out?
- Closing takes longer than opening, and the filing obligations continue until the company is struck off. Plan the exit before you incorporate.
What this service does not cover
- We do not act as director or as nominee shareholder.
- We do not provide registered office hosting indefinitely. Terms and duration are set at the start.
- We do not take files where the intended activity is regulated and the client is not prepared to obtain the sector permit before operating.
- We do not incorporate for clients who cannot document the source of the share capital or who decline to complete the beneficial owner declaration.
- We do not provide accounting as part of this service. It is a separate engagement and it is not optional in practice.
