Before you start, check

At least one shareholder, natural or legal person, of any nationality. No Romanian residence is required to be a shareholder or a director.
A registered office in Romania with a valid title and, where applicable, the landlord's consent.
Activity codes that are lawful for the entity and, where the activity is regulated, the sector permit obtained before operations start rather than at incorporation.
Directors and shareholders must give the declarations the law requires, including on disqualifications.
Minimum share capital: 500 LEI.
