What we do
| Change of director | Corporate resolution, declarations, filing and registration of the appointment or revocation. |
| Change of registered office | Documents for the new address, landlord consent where required, and the filing. Registered office hosting is available separately. |
| Company details and activity codes | Updates to identification details and the addition or removal of CAEN codes. |
| Share transfers and share capital changes | Documents, filing and registration. |
| Bundled filings | Where several changes go in together they are prepared as one file, which is both faster and cheaper than filing them one at a time. |

Who needs this
Owners of an existing Romanian company who need a change recorded, and buyers or sellers of shares in one.
- Foreign owner appointing a Romanian resident as sole director, with full powers, without travelling.
- Company whose registered office hosting is expiring and which must move the address before the term runs out.
- Owner adding activity codes because a new contract falls outside the current business object.
- Shareholder transferring a minority holding to an incoming partner.
Questions
- Do I have to come to Romania?
- No, in the standard case. You sign before a notary where you live and we file on that authority.
- Can I change several things at once?
- Yes, and you should. Filings bundled into one file are faster and cheaper than the same changes filed separately.
- Does changing the director change who is liable?
- Registration records the change; it does not by itself settle liability for the previous period. If that is the reason for the change, say so at the start, because it affects how the file is structured.
- My company is behind on tax filings. Can I still make a change?
- Depends on the change.
- Do I need a new beneficial owner declaration?
- It depends on whether the change affects beneficial ownership. We confirm this for your specific filing.
- Who pays the register's own fees?
- They are separate from our fee. In some matters the register invoices the company directly. We set out which applies before you instruct.
What this service does not cover
- We do not act as director or as nominee shareholder.
- We do not file changes for companies whose position with the tax authority is unresolved, without the client first understanding that the filing may not go through.
- We do not provide registered office hosting indefinitely, and we do not host an address for a company we have no other contact with.
- We do not advise on the tax consequences of a share transfer as part of this service. That is a separate engagement, and on a transfer of any size it is the part that matters most.
