Before you start, check

The company must be in good standing with the trade register.
The change must be resolved by the competent body, usually the shareholders, in the form the constitutive act requires.
For a change of registered office, a valid title to the new address and, where applicable, the landlord's and co-owners' consent.
For a director appointment, the incoming director's declarations, including on disqualifications.
Where the company has tax filing arrears, some changes are practically obstructed until those are cleared. This is the most common reason a simple filing stalls.
